Terms & Conditions

These Terms & Conditions (the “Terms”) govern your access to and use of the Toffi payment platform, dashboard, checkout, APIs, plugins, and related services (collectively, the “Service”) operated by Toffi (“Toffi”, “we”, “us”).

By creating an account, integrating the Service, or accepting payments through Toffi, you (the “Merchant”) agree to these Terms. If you do not agree, do not use the Service.

Toffi offers merchant accounts without mandatory identity verification (no KYC) and without business verification (no KYB). You are not required to operate through a registered company. This convenience does not reduce your legal responsibilities.

You are solely responsible for the lawfulness of your business, your products, your customers, and every transaction you route through the Service. You represent that you have the right to sell what you sell, in every jurisdiction you sell into, and that you will comply with all applicable laws, card-network rules, and tax obligations.

You must be of legal age to enter into a binding contract in your jurisdiction. You may not use the Service if you, your business, or your beneficial owners are subject to sanctions or are located in a sanctioned territory.

Toffi enables Merchants to accept payments via Apple Pay, Google Pay, credit and debit cards, and cryptocurrency, and to receive settlement in USDT. The Service includes hosted checkout, dashboards, plugins, and APIs.

Availability of any particular payment method or feature may vary and may change without notice. We may impose transaction, velocity, or exposure limits at our discretion to manage risk.

Toffi charges a processing fee on transactions, configured per merchant account. Applicable fees are shown in your dashboard and are deducted before settlement.

Payouts are settled in USDT to the wallet address you designate, on a rolling schedule of approximately 7–10 days from capture. You are responsible for the accuracy of your payout address; transactions on public blockchains are irreversible and Toffi is not liable for funds sent to an address you provided incorrectly.

You bear all blockchain network costs and any volatility, conversion, or banking costs on your side.

If a customer raises a chargeback or refund request, Toffi may refund the customer automatically. This protects the integrity of our processing network and reduces fraudulent or disputed activity across the platform.

Any amount refunded to a customer, together with any associated dispute or network fees, will be deducted (netted) from your next USDT payout. Where your pending balance is insufficient, you remain liable for the shortfall and we may offset it against future payouts or recover it by other lawful means.

We may hold, delay, or reserve a portion of funds where we reasonably anticipate elevated chargeback, fraud, or regulatory risk.

Toffi exists to give legitimate businesses — including high-risk merchants that conventional processors refuse to serve — a reliable way to charge their customers. Operating without KYC is a matter of convenience and speed; it is not a licence for criminal activity.

We reserve the right to suspend, freeze, or permanently block any account, at any time and without prior notice, where we believe it is being used for any of the activities listed below, or for any other activity that is illegal, fraudulent, or that exposes Toffi, the card networks, or the wider payment ecosystem to legal, regulatory, or reputational risk. The list below is illustrative, not exhaustive.

We may suspend or terminate your account, withhold or reverse settlements, and report unlawful activity to the relevant authorities where we reasonably believe these Terms have been breached, where required by law, or where necessary to protect Toffi, our partners, or third parties.

On termination for prohibited or unlawful activity, funds associated with such activity may be withheld, frozen, or remitted to the appropriate authorities. You remain liable for chargebacks, refunds, fines, and losses arising before and after termination.

Cryptocurrency transactions are irreversible and settle on public blockchains. Digital-asset values can be volatile. You accept the technical and market risks inherent in crypto settlement, including network congestion, forks, and price movement between authorisation and settlement.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. Toffi does not warrant that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, Toffi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to the Service shall not exceed the total fees you paid to Toffi in the three (3) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Toffi and its officers, employees, and partners from any claims, losses, liabilities, fines, and expenses (including reasonable legal fees) arising out of your use of the Service, your products or content, your breach of these Terms, or your violation of any law or third-party right.

We may update these Terms from time to time. Material changes will be reflected by an updated date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
